These terms govern your access to and use of MortarIQ, operated by Intellibricks Inc. Please read them carefully. By using the service you agree to them.
Who we are and what the service is
MortarIQ is operated by Intellibricks Inc., a corporation established in Ontario, Canada (“MortarIQ”, “we”, “us”). MortarIQ connects to your data warehouse with read-only access, reads schema metadata, and produces an AI data readiness assessment: a score across six factors, a requirement-level breakdown, and prioritized recommendations.
By using MortarIQ you agree to these terms on behalf of yourself and the organization you represent, and you confirm you have authority to bind that organization.
Accounts and your responsibilities
You are responsible for the activity under your account and for keeping your credentials secure. You must have authority to connect any warehouse you add and to grant us read-only access to its metadata. Connecting a system you are not authorized to assess is a breach of these terms. You must be at least 18 and able to form a binding contract.
Acceptable use
Connect only systems you are authorized to assess. Do not attempt to access other organizations' data, probe or disrupt the service, reverse-engineer it except where the law gives you that right, resell it without our agreement, or use it to violate any law or third-party right. You may not use the service if you are subject to sanctions or located in an embargoed jurisdiction. We may suspend accounts that put the service or other customers at risk.
Plans, billing and refunds
Subscriptions
Paid plans (Pro, Team, Enterprise) are billed in advance on a recurring basis through Stripe, monthly or annually. Your plan renews automatically until cancelled.
Taxes
Prices exclude applicable taxes (such as GST/HST, VAT, or sales tax). We add them where we are required to collect them.
Cancellation
You can cancel anytime from the billing portal. Your plan stays active until the end of the current billing period, then reverts to Free. We do not provide prorated refunds for partial periods unless the law requires it.
Changes
We may change prices or plan features with reasonable notice. Changes take effect at your next renewal. We may change or discontinue the Free plan's limits at any time.
Assessments are guidance, not certification
MortarIQ helps you prepare evidence for frameworks like the EU AI Act, ISO/IEC 5259, SOC 2, and GDPR. It does not certify, audit, or guarantee compliance with any law, standard, or framework, and our output is not legal advice. Readiness scores and recommendations are informational. You are responsible for your own compliance decisions and for validating any change, including any generated remediation SQL, before applying it to production systems.
AI-generated content
Recommendations and narrative are generated with the help of large language models from your assessment results. AI output can contain errors or omissions. Review it with judgment. Do not rely on it as the sole basis for a material decision, and treat generated SQL like any other untested change.
Your data and intellectual property
You keep all rights to your data and metadata. You grant us a limited licence to process it solely to provide the service, as described in our Privacy Policy and Data Processing Addendum. We keep all rights to the MortarIQ software, scoring framework, and brand. Feedback you choose to give us may be used to improve the service without obligation to you.
Indemnity
You will defend and indemnify us against third-party claims arising from your breach of these terms (including connecting a warehouse or sharing data you were not authorized to provide) or your violation of law. We will defend and indemnify you against third-party claims that the service, as provided by us and used as permitted, infringes their intellectual-property rights.
Warranty disclaimer
The service is provided “as is” and “as available”, without warranties or conditions of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that any assessment is complete or accurate. Features identified as beta, preview, or early access come with no commitments of any kind. No service-level agreement applies unless we agree to one in writing.
Limitation of liability
To the maximum extent permitted by law: neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for all claims arising out of or relating to the service is limited to the greater of (a) the amounts you paid us in the twelve months before the first claim and (b) CAD $100. These limits do not apply to your payment obligations, either party's indemnity obligations, or liability that cannot be limited by law.
Termination
You may stop using the service and delete your account at any time. We may suspend or terminate access for breach of these terms, non-payment, or to protect the service, and we will make reasonable efforts to notify you. On termination your right to use the service ends and we delete or return your data as described in the DPA. Sections that should naturally survive (including Your data and intellectual property, Indemnity, Warranty disclaimer, Limitation of liability, and Governing law) survive termination.
Governing law and general terms
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in it, without regard to conflict-of-laws rules. The courts of Ontario have exclusive jurisdiction. If any provision is unenforceable, the rest remains in effect. Neither party is liable for delay or failure caused by events beyond its reasonable control. You may not assign these terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. These terms, together with the Privacy Policy, the DPA, and your plan order, are the entire agreement.
We may update these terms. Material changes will be communicated to account owners, and continued use after they take effect constitutes acceptance.
